Welcome to the www.mypapa.shop Affiliate Program ("Program"), operated by Toksyra Global F.Z.E, a company duly incorporated and registered in the United Arab Emirates ("MYPAPA", "Company", "we", "our", or "us").

These Terms & Conditions ("Agreement") govern your participation in the MYPAPA Affiliate Program. By registering as an affiliate, accessing your affiliate dashboard, using your referral link, or participating in the Program, you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions.

If you do not agree with any part of these Terms, you must not participate in the Program.

1. Eligibility

• You must be at least 18 years old and legally capable of entering into a binding agreement.
• MYPAPA reserves the right to approve, reject, suspend, or terminate any affiliate account at its sole discretion.

2. Nature of the Program

The MYPAPA Affiliate Program is a customer referral and reward program that allows approved affiliates to promote MYPAPA products using their unique referral link.

Affiliates may earn commissions on qualifying purchases made through their referral link, subject to these Terms.

Participation in this Program does not create any employment, partnership, agency, franchise, or joint venture relationship between you and MYPAPA.

3. Affiliate Responsibilities

Affiliates are solely responsible for:

• Their marketing activities.
• Their websites, social media accounts, advertisements, and promotional content.
• Compliance with all applicable laws in their country or jurisdiction.
• Obtaining any licences, registrations, approvals, permits, tax registrations, or authorisations required by law to conduct affiliate marketing or receive commission payments.

If any government authority requires a licence or registration for your affiliate activities, it is your sole responsibility to obtain and maintain it.

MYPAPA shall not be responsible for any penalties, taxes, fines, legal proceedings, regulatory actions, or losses arising from your failure to comply with applicable laws.

4. Marketing Materials

MYPAPA provides official banners, videos, product images, and promotional materials through the Affiliate Dashboard.

Affiliates are encouraged to use only these official materials.

If affiliates create or use their own marketing materials outside the official Creative Library, they do so entirely at their own risk.

MYPAPA accepts no responsibility for claims, copyright issues, advertising violations, or legal consequences arising from unofficial promotional materials.

5. Customer Support

Affiliates are not authorised to provide customer service, make promises, offer refunds, or resolve disputes on behalf of MYPAPA.

All customer enquiries must be directed to MYPAPA Customer Support through the official website.

6. Commission

Eligible affiliates may earn commissions of up to the rate displayed in their affiliate dashboard.

Commissions are earned only on verified and qualifying purchases successfully tracked through the affiliate system.

No commission is payable on:

• Cancelled orders
• Refunded orders
• Fraudulent transactions
• Chargebacks
• Duplicate or self-referrals
• Orders that violate these Terms

MYPAPA reserves the right to reverse commissions where an order becomes ineligible.

Commission Rates and Program Changes

Commission rates displayed in the Affiliate Dashboard are not fixed and may vary from time to time depending on product category, product margin, promotional campaigns, operating costs, or other business considerations.

The commission rate applicable to each product or campaign will be the rate displayed in the Affiliate Dashboard at the time the qualifying purchase is made.

Toksyra Global F.Z.E reserves the right, at its sole discretion and without prior notice where permitted by applicable law, to:

• Increase or decrease commission rates;
• Exclude specific products or product categories from earning commissions;
• Introduce promotional or limited-time commission rates;
• Modify the commission structure or payment methodology;
• Suspend or discontinue the Affiliate Program, in whole or in part.

Any changes will apply prospectively from their effective date and will not affect commissions that have already been approved in accordance with these Terms & Conditions, unless adjustment is required because of fraud, returns, cancellations, chargebacks, or other violations of this Agreement.

Continued participation in the Affiliate Program after any changes become effective constitutes acceptance of the revised commission structure and Program Terms.

7. Commission Holding Period

To ensure transparency and account for international shipping, delivery delays, customs inspections, returns, cancellations, and fraud prevention, commissions remain pending for approximately 15–20 days after each successful order.

Where a customer requests a replacement product instead of a refund, the commission may remain pending for up to 30 days until the replacement order has been successfully delivered.

8. Commission Payment

Affiliates may request payment once their approved commission balance reaches a minimum of USD 10.

Payments are currently made via PayPal using MYPAPA's official business payment account for transparency and secure record keeping.

Payment processing fees, PayPal fees, bank charges, currency conversion fees, taxes, or similar deductions imposed by payment providers or local authorities are the responsibility of the affiliate.

9. Sign-Up Bonus

New affiliates may receive a USD 1 sign-up bonus.

This bonus is promotional in nature and does not become payable unless the affiliate reaches the minimum payout threshold of USD 10.

10. Inactive Accounts

Affiliate accounts that fail to reach the minimum payout threshold of USD 10 within 12 consecutive months may be suspended or deactivated without prior notice.

Any unpaid promotional sign-up bonus associated with such accounts will expire.

11. Taxes

Affiliates are solely responsible for declaring and paying any taxes, duties, VAT, GST, income tax, withholding tax, or other governmental charges applicable in their country.

MYPAPA does not provide tax advice.

12. Prohibited Activities

Affiliates must not:

• Misrepresent MYPAPA or its products.
• Make false or misleading advertising claims.
• Engage in spam or unsolicited messaging.
• Purchase through their own referral links.
• Use fraudulent methods to generate commissions.
• Impersonate MYPAPA or claim to represent the company.
• Violate intellectual property rights.
• Engage in unlawful or unethical marketing practices.

Violation may result in immediate account termination and forfeiture of unpaid commissions.

13. Intellectual Property

All MYPAPA trademarks, logos, product images, videos, and promotional materials remain the exclusive property of MYPAPA.

Affiliates receive a limited, revocable licence to use approved marketing materials solely for participation in this Program.

14. Limitation of Liability

To the maximum extent permitted by applicable law, MYPAPA shall not be liable for indirect, incidental, special, or consequential damages arising from participation in this Program.

Nothing in this Agreement excludes or limits any liability that cannot be excluded under applicable law.

15. Indemnity

Affiliates agree to indemnify and hold harmless MYPAPA, its owners, directors, employees, and affiliates from any claims, penalties, fines, damages, legal costs, or liabilities arising from:

• Their marketing activities;
• Violation of any law;
• Misrepresentation;
• Copyright infringement;
• Advertising violations; or
• Breach of these Terms.

16. Modification

MYPAPA may update these Terms at any time.

Continued participation after changes become effective constitutes acceptance of the revised Terms.

17. Termination

MYPAPA may suspend or terminate any affiliate account immediately where fraud, abuse, misleading advertising, unlawful conduct, or breach of these Terms is suspected.

18. Governing Law

This Agreement shall be governed by the laws of the United Arab Emirates.

Any dispute arising out of or relating to this Agreement shall be subject to the competent courts of the Emirate in which MYPAPA is legally registered, unless otherwise required by applicable law.

Additional Terms & Conditions

20. Advertising Disclosure

Affiliates are responsible for complying with all applicable advertising, marketing, consumer protection, and disclosure laws in the countries where they promote MYPAPA.

Where required by applicable law or platform policies, affiliates must clearly disclose that they may receive a commission from purchases made through their referral links. Examples include using statements such as:

• "This post contains affiliate links."
• "I may earn a commission if you purchase through my link."

Failure to make required disclosures is the sole responsibility of the affiliate. MYPAPA accepts no liability for any penalties, claims, or enforcement actions arising from an affiliate's failure to comply with applicable disclosure requirements.

21. Anti-Spam Policy

Affiliates must promote MYPAPA ethically and responsibly.

The following activities are strictly prohibited:

• Sending unsolicited emails (spam)
• Sending bulk SMS messages
• Sending unsolicited WhatsApp, Telegram, Messenger, or similar messages
• Using automated bots or mass messaging software
• Posting misleading comments or fake reviews
• Any marketing practice prohibited by applicable law

Violation of this policy may result in immediate termination of the affiliate account, cancellation of unpaid commissions, and legal action where appropriate.

22. Trademark and Paid Advertising Policy

Affiliates may not:

• Bid on the keywords "MYPAPA", "MYPAPA Shop", "MYPAPA Official", or confusingly similar trademarks in Google Ads, Bing Ads, or any other paid advertising platform without prior written approval.
• Register domain names, social media accounts, usernames, or websites that contain or closely resemble the MYPAPA trademark.
• Represent themselves as MYPAPA or imply they are employees, agents, or official representatives of MYPAPA.

Affiliates may only use the official logos, product images, and marketing materials provided in the Affiliate Dashboard unless prior written permission has been granted.

23. Social Media Promotion

Affiliates may promote MYPAPA on social media platforms, blogs, websites, YouTube, or other digital channels, provided that:

• All content is truthful and not misleading.
• Product claims are accurate.
• Pricing, discounts, and promotions are not altered or misrepresented.
• Content complies with the rules and policies of the relevant platform.

MYPAPA reserves the right to request the removal of any promotional content that may harm its reputation or violate these Terms.

24. Fraud Prevention

MYPAPA operates automated and manual fraud detection systems.

The following activities are prohibited:

• Self-referrals
• Creating multiple affiliate accounts
• Fake orders
• Artificial traffic generation
• Click fraud
• Cookie stuffing
• Incentivised purchases that have not been approved by MYPAPA
• Use of stolen payment methods
• Any attempt to manipulate the affiliate tracking system

If fraudulent activity is detected, MYPAPA may suspend or permanently terminate the affiliate account, reverse unpaid commissions, withhold payments pending investigation, and report unlawful conduct to the relevant authorities where required.

25. Right to Audit

MYPAPA reserves the right to review an affiliate's promotional activities, websites, social media accounts, advertising campaigns, and traffic sources at any time to ensure compliance with these Terms.

Affiliates agree to provide reasonable information requested by MYPAPA during any compliance review.

26. Currency

All commissions displayed in the Affiliate Dashboard are calculated in the currency specified by MYPAPA.

Where payments are made in another currency, exchange rates and payment provider conversion charges shall apply.

27. Force Majeure

MYPAPA shall not be liable for delays or failures in performing its obligations due to events beyond its reasonable control, including but not limited to natural disasters, war, government actions, customs delays, pandemics, payment provider outages, cyber incidents, transportation disruptions, or internet failures.

28. Entire Agreement

These Terms & Conditions, together with the Privacy Policy and any other policies published by MYPAPA relating to the Affiliate Program, constitute the entire agreement between the parties and supersede any previous understandings or communications relating to the Program.

29. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

30. Contact Information

For all Affiliate Program enquiries, commission questions, or policy matters, affiliates must contact MYPAPA through the official customer support channels available on the MYPAPA website.

Affiliates must not represent themselves as customer support or resolve customer disputes on behalf of MYPAPA.

31. Compliance with UAE Laws

The MYPAPA Affiliate Program is operated by Toksyra Global F.Z.E, a company registered in the United Arab Emirates.

Affiliates are independent contractors and are solely responsible for complying with all applicable laws, regulations, licensing requirements, tax obligations, advertising standards, consumer protection laws, privacy laws, and electronic commerce regulations in the jurisdictions where they conduct promotional activities.

Where any government authority requires an affiliate to obtain a business licence, commercial registration, tax registration, permit, or any other legal authorization to conduct affiliate marketing or receive commissions, obtaining and maintaining such authorization is solely the affiliate's responsibility.

MYPAPA does not provide legal, tax, accounting, or regulatory advice.

To the fullest extent permitted by applicable law, affiliates agree to indemnify and hold harmless Toksyra Global F.Z.E, its owners, directors, officers, employees, contractors, affiliates, and partners from any claims, penalties, fines, taxes, legal proceedings, investigations, or regulatory actions arising from:

• Failure to obtain any required licence or registration;
• Violation of applicable laws or regulations;
• Breach of advertising or consumer protection requirements;
• Tax reporting obligations;
• Any unlawful marketing activity conducted by the affiliate.

Nothing in this Agreement shall be interpreted as creating an employment relationship, partnership, agency, franchise, or joint venture between the affiliate and Toksyra Global F.Z.E.

32. No Warranty of Earnings

Participation in the Affiliate Program does not guarantee any level of income or commissions.

Actual earnings depend on various factors including, but not limited to:

• Marketing efforts;
• Audience engagement;
• Product demand;
• Geographic location;
• Customer purchasing decisions;
• Seasonal trends; and
• Compliance with these Terms.

Any earnings examples shown on the website or in promotional materials are illustrative only and should not be interpreted as a promise or guarantee of future income.

33. Electronic Acceptance

By creating an affiliate account, clicking "I Agree", or continuing to participate in the Program, you electronically accept these Terms & Conditions and agree that such electronic acceptance has the same legal effect as a handwritten signature.

34. Reservation of Rights

Toksyra Global F.Z.E reserves the right, at its sole discretion, to:

• Approve or reject any affiliate application;
• Suspend or terminate affiliate accounts;
• Modify commission rates;
• Change payment methods;
• Update payout thresholds;
• Amend these Terms & Conditions at any time;
• Investigate suspected fraud or abuse; and
• Refuse payment where these Terms have been violated or fraudulent activity is reasonably suspected.

Continued participation in the Program after any amendments constitutes acceptance of the updated Terms.

35. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates.

Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent courts of the Emirate in which Toksyra Global F.Z.E is legally registered, unless otherwise required by mandatory applicable law.

Where applicable, the parties agree to attempt to resolve disputes amicably before commencing legal proceedings.
